Terms of Service

Effective date: April 9, 2026

Welcome to InvoiceDIY. These Terms of Service (“Terms”) govern your access to and use of the InvoiceDIY website, web application, and related services (collectively, the “Service”) operated by Whatstudio PTE LTD, a company incorporated in Singapore (UEN: 202441932D), trading as InvoiceDIY (“we,” “us,” or “our”).

By creating an account or using the Service in any way, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

Please also review our Privacy Policy, which is incorporated into these Terms by reference.


1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding contract in your jurisdiction to use the Service. By using InvoiceDIY, you represent and warrant that you meet these requirements.

If you are using the Service on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Account Registration and Security

To access the Service, you must create an account using a valid email address and password. You agree to:

  • Provide accurate, current, and complete information during registration
  • Keep your password confidential and not share it with any third party
  • Notify us immediately at support@invoicediy.com of any unauthorized access to your account
  • Take responsibility for all activity that occurs under your account

Single-session policy: InvoiceDIY enforces single active sessions per account for security purposes. Logging in on a new device will automatically terminate any existing active session on another device. Sessions expire after 30 days of inactivity, after which you must log in again.

We reserve the right to suspend or terminate your account if we determine that your registration information is false or misleading, or if we suspect unauthorized access.

3. Subscription Plans and Fees

3.1 Plan Tiers

InvoiceDIY offers multiple subscription tiers, including a free plan and paid plans. Each plan has associated features and limitations as described on our pricing page. We reserve the right to modify plan features and pricing with reasonable notice.

3.2 Free Plan

The free plan is provided at no charge and includes a limited number of invoices per month. Invoices and PDFs generated on the free plan include a “Created with InvoiceDIY” watermark. The free plan is intended for personal or small-scale use.

3.3 Paid Plans

Paid subscriptions are billed on a monthly or annual basis through Stripe, our third-party payment processor. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis at the then-current subscription price until you cancel.

3.4 Auto-Renewal

Subscriptions automatically renew at the end of each billing period. You may cancel auto-renewal at any time through your account settings. Cancellation takes effect at the end of the current billing period; you will not receive a prorated refund for the remaining period.

3.5 Refund Policy

All fees are non-refundable except where required by applicable law. If you believe you have been charged in error, contact us at support@invoicediy.com within 30 days of the charge and we will review your request.

3.6 Cooling-Off Period (New Subscribers)

If you are a new subscriber purchasing a paid plan for the first time, you may request a full refund within 14 days of your initial subscription payment (the “cooling-off period”), in accordance with Singapore’s Consumer Protection (Fair Trading) Act (Cap. 52A). To request a refund under this provision, contact us at support@invoicediy.com within the cooling-off period, referencing your account email and the date of purchase.

This cooling-off right applies only to the first subscription payment and does not apply to renewals, plan upgrades, or situations where the Service has been substantially used during the cooling-off period (e.g., if more than 10 invoices have been created or sent).

3.7 Taxes

You are responsible for all applicable taxes, levies, or duties imposed by taxing authorities in connection with your use of the Service, excluding taxes on Whatstudio PTE LTD’s net income.

4. Acceptable Use Policy

You agree to use the Service only for lawful business purposes. You must not use InvoiceDIY to:

  • Create fraudulent, fictitious, or misleading invoices or documents
  • Engage in tax fraud, financial fraud, or any other illegal financial activity
  • Send unsolicited or spam emails to any person
  • Impersonate any person or entity, or falsely claim affiliation with any person or entity
  • Upload, store, or transmit any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable
  • Attempt to gain unauthorized access to the Service, its systems, or other users’ accounts
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Resell or sublicense access to the Service without our express written permission
  • Use automated tools, bots, or scrapers to access the Service in any manner not authorized by us

We reserve the right to investigate and take appropriate action for any violation of this policy, including suspending or terminating your account and reporting activity to law enforcement.

5. User Content and Data

5.1 Ownership

You retain full ownership of all data, content, and information you submit to or create through the Service, including business profiles, customer records, invoice data, logos, signatures, and attachments (“User Content”). InvoiceDIY does not claim any ownership rights over your User Content.

5.2 License to Operate the Service

By uploading or submitting User Content, you grant InvoiceDIY a limited, non-exclusive, royalty-free license to store, process, and transmit your User Content solely to the extent necessary to provide and operate the Service on your behalf. This license is revoked when you delete your account or the relevant content.

5.3 Your Responsibility

You are solely responsible for the accuracy, legality, and completeness of all User Content you submit. You represent and warrant that you have all necessary rights to submit the User Content and that it does not infringe any third-party intellectual property rights or violate any applicable laws.

5.4 Data Export

You may export or download your data at any time while your account is active through the PDF download feature and other export tools provided within the Service. Upon account termination, we will retain your data for 90 days before permanent deletion, during which you may request an export.

6. Public Invoice Sharing

The Service provides the ability to generate a secure, tokenized public link to share invoices with your clients. By sharing a public invoice link, you acknowledge that:

  • Anyone with access to the link can view the invoice and its contents
  • Public links expire after 90 days and can be regenerated at any time
  • You are responsible for controlling who you share these links with
  • InvoiceDIY is not responsible for unauthorized access resulting from you sharing or mishandling the link

You may disable or regenerate a public link at any time through the invoice settings.

7. Email Delivery

InvoiceDIY enables you to send invoices and documents via email to your clients using our integrated email delivery system. By using this feature, you agree that:

  • You will only send emails to recipients who have consented to receive communications from you
  • You will not use the email feature to send unsolicited commercial emails (spam)
  • You are responsible for compliance with applicable anti-spam laws in your jurisdiction (including CAN-SPAM, CASL, and GDPR email requirements)
  • Email delivery is provided on a best-effort basis; we do not guarantee delivery to any particular recipient

InvoiceDIY reserves the right to suspend email sending privileges for any account that violates these requirements or generates excessive spam complaints.

8. Intellectual Property

The Service, including its design, code, features, branding, and content (excluding User Content), is the exclusive property of InvoiceDIY and is protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes in accordance with these Terms. You may not copy, modify, distribute, sell, or create derivative works based on the Service or its components.

The InvoiceDIY name, logo, and related marks are trademarks of Whatstudio PTE LTD. Nothing in these Terms grants you any right to use our trademarks without our prior written consent.

9. Third-Party Services

InvoiceDIY relies on the following third-party services to provide the Service. Your use of InvoiceDIY is subject to these services’ terms and privacy policies:

  • Google Firebase — Used for user authentication, database (Firestore), file storage, and application hosting. Your data is stored on Google’s cloud infrastructure. Firebase’s use of data is governed by the Google Firebase Terms of Service.
  • Stripe — Used to process subscription payments and client invoice payments. InvoiceDIY does not store your full payment card details; they are handled directly by Stripe in accordance with PCI-DSS standards. Stripe’s services are subject to the Stripe Services Agreement.

InvoiceDIY is not responsible for the availability, accuracy, or actions of any third-party service. Disruptions in third-party services may affect the availability or functionality of InvoiceDIY.

10. Privacy

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the practices described in our Privacy Policy.

11. PDF Generation

InvoiceDIY generates PDF documents directly within your browser using client-side rendering technology. We do not send your invoice data to external PDF generation services. However, your invoice data must be stored on our servers (Firebase) to enable saving, sending, and sharing functionality.

PDFs generated on the free plan include a “Created with InvoiceDIY” watermark. This watermark is removed on all paid subscription plans. You may not attempt to remove or obscure this watermark while on the free plan.

12. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance, unplanned outages, or events beyond our control.

We will endeavor to provide advance notice of planned maintenance where reasonably practicable. For paid plans, if the Service experiences extended unavailability, contact us at support@invoicediy.com and we will review your situation on a case-by-case basis.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED ACCESS.

InvoiceDIY does not warrant that:

  • The Service will meet your specific business, accounting, or tax requirements
  • The Service will be error-free or continuously available
  • Any errors in the Service will be corrected on any particular timeline
  • The Service is suitable as a substitute for professional accounting, legal, or tax advice

InvoiceDIY is a tool for creating and managing invoicing documents. You are solely responsible for ensuring your invoices, taxes, and business records comply with applicable laws and regulations in your jurisdiction. Always consult a qualified professional for accounting, legal, or tax advice.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INVOICEDIY AND ITS AFFILIATES, DIRECTORS, EMPLOYEES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL
  • DAMAGES ARISING FROM YOUR RELIANCE ON THE SERVICE FOR ANY BUSINESS, LEGAL, OR TAX PURPOSE
  • UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO INVOICEDIY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) USD $50.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you.

15. Indemnification

You agree to indemnify, defend, and hold harmless InvoiceDIY, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Service in violation of these Terms; (b) your User Content; (c) your violation of any law or regulation; or (d) your violation of any rights of a third party.

16. Termination

16.1 By You

You may terminate your account at any time by contacting us at support@invoicediy.com or through the account deletion option in your settings. Upon termination of a paid subscription, your plan benefits will remain active until the end of the current billing period.

16.2 By InvoiceDIY

We reserve the right to suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or posed a risk to other users or the Service.

16.3 Effect of Termination

Upon termination, your right to access the Service ceases immediately. We will retain your data for 90 days following termination, after which it will be permanently deleted. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.

17. Modifications to the Terms

We may update these Terms from time to time. When we make material changes, we will notify you by posting a notice in the Service or by sending an email to the address associated with your account at least 14 days before the changes take effect.

Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service and may terminate your account.

18. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law principles.

Any dispute arising out of or in connection with these Terms or the Service shall first be attempted to be resolved through good-faith informal negotiation. If the parties cannot resolve the dispute informally within 30 days of written notice, the dispute shall be referred to and finally resolved by binding arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the SIAC Rules for the time being in force, which rules are deemed to be incorporated by reference into this clause. The seat of arbitration shall be Singapore. The language of arbitration shall be English. The tribunal shall consist of one arbitrator.

Notwithstanding the above, either party may seek injunctive or other equitable relief from any court of competent jurisdiction in Singapore for matters involving intellectual property infringement or unauthorised access to the Service.

19. Miscellaneous

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and InvoiceDIY regarding the Service and supersede all prior agreements.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
  • No Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.
  • Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. InvoiceDIY may assign its rights and obligations without restriction.
  • Force Majeure: InvoiceDIY is not liable for any delay or failure resulting from causes beyond our reasonable control, including natural disasters, internet outages, or acts of government.
